Mourant Ozannes advises Endiang Holdings Inc

Leading offshore law firm Mourant Ozannes has advised Canadian investment holding company Endiang Holdings Inc, an affiliate of Canada’s Labatt family, on its acquisition of ARC Group Limited.

ARC Group Limited is the holding company of Asset Risk Consultants, an independent, privately owned consulting practice based in the Channel Islands providing investment consulting services on both funds and private portfolios.

Partner Gavin Farrell led the matter. He commented: “We were delighted to assist Endiang Holdings Inc on this matter. Working closely with the regulators in both islands, our cross jurisdictional and discipline teams were able to ensure a seamless transaction for all parties involved.”

Mourant Ozannes’ Channel Islands team comprising lawyers from the corporate, employment and property practices assisted Miller Thompson, one of Canada’s most respected law firms, in relation to the acquisition. Mourant Ozannes’ role included undertaking due diligence and assisting with the share purchase agreement and related completion documents as well as liaising with the GFSC and JFSC on change of control issues.

The matter was led by partners Gavin Farrell in Guernsey and Mark Chambers in Jersey, assisted by Jessica Roland, Helen Wyatt, Mathew Du Val, Bonnie McPartland and Kate Dewsnap in Guernsey and Helen Ruelle, Victoria Cabot and Matthew Shaxson in Jersey.
